PREAMBLE
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”) and House of stability LLC, a limited liability company registered under the laws of the Arab Republic of Egypt, operating commercially under the brand name Babdarna (“we,” “us,” or “the Company”).
By downloading, installing, registering on, or using the Babdarna mobile application (“App”), you confirm that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree, you must immediately cease using the App.
The App serves as a hospitality operating platform connecting three user types: property owners, guests, and internal operations staff. Each user type is subject to applicable provisions herein.
Important Notice
• These Terms are governed by Egyptian law. All disputes are subject to the jurisdiction of Egyptian courts.
• These Terms are provided in English as the primary binding version. An Arabic translation is provided for convenience.
• If any conflict arises between the English and Arabic versions, the English version prevails.
1. DEFINITIONS
For the purposes of these Terms, the following definitions apply:

| Guest | Any individual who uses the App to search, book, or manage a short-term rental stay. |
| Owner | A property owner who has contracted with Babdarna for property management services and uses the App to access reporting and unit performance. |
| Ops User | An authorized Babdarna internal staff member with access to operational features. |
| Unit | A residential property listed on the Babdarna platform. |
| Booking | A confirmed reservation made by a Guest for a specific Unit and date range. |
| PMS | Property Management System (Smoobu) used as the single source of truth for reservations. |
| Service Fee | A non-refundable fee charged by Babdarna at the time of booking. |
| Proof of Payment | An uploaded document (e.g., bank transfer receipt, deposit slip) confirming cash or transfer payment. |
| Force Majeure | Events beyond the control of either party including government-issued travel bans, natural disasters, or property rendered uninhabitable. |
| Content | Any text, photos, documents, or data submitted by a User through the App. |
2. ELIGIBILITY & ACCOUNT REGISTRATION
2.1 Eligibility Requirements
You may use the App only if:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding contract under Egyptian law.
- You are not prohibited from using the App by any applicable law or prior Babdarna decision.
- For Guest accounts: You are the individual who will occupy or be responsible for the booked Unit.
- For Owner accounts: You are the legal owner or authorized representative of the listed property, and have signed a valid management agreement with Babdarna.
2.2 Account Registration
To access core App features, you must register an account by providing:
- Full legal name as it appears on your national ID or passport.
- Valid mobile phone number (used for authentication and communications).
- Valid email address.
- A scanned copy of your National ID (for Egyptian residents) or passport (for non-Egyptians), as required for identity verification and regulatory compliance.
You agree that all information provided at registration is accurate, complete, and current. You are responsible for maintaining its accuracy at all times.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must notify Babdarna immediately at support@babdarna.com if you suspect unauthorized access to your account.
Babdarna will not be liable for any loss or damage arising from your failure to protect your credentials.
2.4 Account Suspension & Termination
Babdarna reserves the right to suspend or permanently terminate any account — with or without notice — if:
- The User violates these Terms.
- The User provides false or misleading information.
- The User’s conduct poses a risk to other Users, property, or Babdarna’s operations.
- Babdarna is required to do so by applicable law or court order.
3. PLATFORM USE
3.1 Permitted Use
The App is provided exclusively for the following lawful purposes:
- Guests: Searching, booking, and managing short-term rental stays.
- Owners: Viewing unit performance, financial reports, and communications from Babdarna.
- Ops Users: Managing reservations, maintenance requests, guest communications, and operational workflows.
3.2 Prohibited Conduct
Users are strictly prohibited from:
- Using the App for any unlawful purpose or in violation of Egyptian law.
- Impersonating another person or misrepresenting their identity or affiliation.
- Attempting to gain unauthorized access to other accounts, systems, or networks.
- Uploading or transmitting malicious code, viruses, or harmful software.
- Scraping, crawling, or data-mining any part of the App without express written consent.
- Using the App to facilitate subletting, unauthorized re-listing, or commercial resale of bookings.
- Posting false reviews, fraudulent payment proofs, or misleading information.
- Engaging in any conduct that damages Babdarna’s reputation or business relationships.
3.3 Intellectual Property
All content on the App — including but not limited to the Babdarna brand name, logo, design, software, text, and images — is the exclusive property of House of stability LLC or its licensors. Nothing in these Terms grants you a license to use any intellectual property other than as strictly required to use the App for its intended purpose.
4. BOOKINGS & RESERVATIONS
4.1 Booking Process
All bookings are subject to availability and Babdarna’s confirmation. A booking is considered confirmed only when:
- The Guest has received a written confirmation (via App notification and/or WhatsApp) from Babdarna.
- A valid Proof of Payment has been uploaded and verified by Babdarna operations.
- The booking has been logged and confirmed in the PMS.
Babdarna reserves the right to decline or cancel any booking at its sole discretion, including if Proof of Payment is deemed invalid or fraudulent.
4.2 Payment Method
Babdarna currently operates on a cash-based payment system. The following payment process applies:
- The Guest pays the booking amount in cash or via bank transfer to the designated Babdarna account.
- The Guest must upload a clear, legible Proof of Payment through the App within 24 hours of making the payment.
- Acceptance of a booking is conditional upon Babdarna’s verification of the Proof of Payment.
- Babdarna is not liable for payments made to unauthorized individuals or accounts not officially designated by Babdarna in writing.
Always verify the designated Babdarna payment account details through the App or official communication before transferring funds.
Babdarna will never ask for payment via personal accounts, WhatsApp, or unofficial channels.
Keep your original payment receipt. It may be required to resolve disputes.
4.3 Booking Modifications
Modification requests are subject to the following rules:
- Date changes: Treated as a new booking if the change is 7 or more days from the original dates.
- Guest count changes: Permitted if within the Unit’s stated maximum occupancy; no additional fee applies.
- Shortening of stay: The cancellation policy applies to the removed nights.
All modification requests must be submitted through the App or confirmed in writing via official Babdarna channels.
4.4 Check-In & Check-Out
Standard check-in time is 3:00 PM. Standard check-out time is 11:00 AM. Early check-in or late check-out is subject to availability and may incur additional charges at Babdarna’s discretion.
Guests are responsible for following the access instructions provided by Babdarna. Failure to follow instructions that results in a missed check-in is not grounds for a refund.
5. CANCELLATION & REFUND POLICY
5.1 Policy Tiers
Babdarna operates three cancellation policy tiers assigned to each Unit. Guests are notified of the applicable policy at the time of booking. The policies are:

5.2 Service Fees
Service fees charged by Babdarna are non-refundable in all cancellation scenarios without exception.
5.3 Force Majeure
Guests are entitled to a full refund (excluding service fees) if cancellation is caused by:
- A government-issued travel ban applicable to the destination.
- An officially declared natural disaster affecting the destination.
- The Unit becoming uninhabitable due to fire, flood, or equivalent event.
Force Majeure refunds require official documentation submitted to Babdarna within 48 hours of the triggering event. Babdarna reserves the right to verify all claims.
5.4 No-Show Policy
Failure to check in on the booking date without prior cancellation will result in forfeiture of 100% of the downpayment regardless of the applicable policy tier. Exceptions are reviewed on a case-by-case basis only if the Guest provides documented evidence of a medical emergency or bereavement within 48 hours of the scheduled check-in.
5.5 Owner-Initiated Cancellations
If Babdarna cancels a confirmed booking due to owner-side issues (unit withdrawal, overbooking, etc.), the Guest will receive:
- A full refund within 48 hours.
- An offer of an alternative unit of equal or superior standard, where available.
- A rebooking discount of 10–20% at Babdarna’s discretion.
5.6 Early Check-Out
If a Guest checks out before the scheduled departure date, no refund is provided for unused nights. An exception applies only if the Unit has been rendered uninhabitable by a property defect, in which case a prorated refund for unused nights will be issued at Babdarna’s discretion.
6. GUEST OBLIGATIONS
By completing a booking, Guests agree to:
- Comply with all house rules as communicated by Babdarna at the time of booking and via in-unit materials.
- Not exceed the maximum occupancy stated for the Unit.
- Not use the Unit for commercial purposes, events, parties, or gatherings without prior written approval from Babdarna.
- Not smoke in Units where smoking is prohibited.
- Treat the Unit, its contents, and communal areas with reasonable care.
- Report any damage, malfunction, or concern immediately through the App or to the designated Babdarna Host.
- Vacate the Unit by the stated checkout time.
- Not sublet, re-rent, or provide access to the Unit to any person not included in the original booking.
6.1 Damage & Liability
Guests are financially liable for any damage to the Unit or its contents beyond normal wear and tear. Babdarna will document all damage with photographic evidence and notify the Guest within 24 hours of discovery. Guests will be provided with a written quote for repair or replacement costs.
Babdarna reserves the right to pursue recovery of damages through all available legal channels under Egyptian law if the Guest fails to settle within a reasonable period.
7. OWNER OBLIGATIONS & PORTAL USE
Access to the Owner portal within the App is granted exclusively to property owners who have executed a valid Property Management Agreement with Babdarna.
7.1 Owner Commitments
Owners agree to:
- Maintain the Unit in a condition that meets Babdarna’s minimum quality standards.
- Notify Babdarna promptly of any changes to the Unit’s condition, availability, or legal status.
- Not interfere with confirmed Guest bookings or access the Unit during a Guest’s stay without Babdarna’s authorization.
- Ensure all ownership documentation provided to Babdarna is accurate and current.
7.2 Reporting & Payouts
Owners acknowledge that:
- Financial reporting is generated from the PMS and reflects actual booking data.
- Payouts are processed within 5 business days of month-end.
- All deductions (management fees, cleaning, maintenance) are itemized in the monthly report.
- Disputes regarding payouts must be raised in writing within 14 days of report issuance.
8. USER CONTENT & CONDUCT
8.1 Content Standards
Any content you upload through the App — including payment proofs, identification documents, or communications — must be:
- Accurate and not misleading.
- Free from malware, unauthorized tracking software, or harmful code.
- Legally obtained and not in violation of any third party’s intellectual property rights.
- Not defamatory, harassing, threatening, or abusive.
8.2 Babdarna’s Rights Over Content
By uploading content to the App, you grant Babdarna a non-exclusive, royalty-free license to use, store, and process that content solely for the purpose of delivering services to you and operating the platform. Babdarna will not sell or commercially exploit your content.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by Egyptian law, Babdarna’s liability to any User for any claim arising from use of the App is limited to the value of the confirmed booking to which the claim directly relates.
Babdarna is not liable for:
- Indirect, incidental, or consequential loss or damage.
- Loss of profit, revenue, or business opportunity.
- Interruption of service due to technical failures, maintenance, or force majeure events.
- Acts or omissions of third-party vendors, maintenance contractors, or cleaning providers.
- Damage to personal belongings left in a Unit.
- Issues arising from inaccurate information provided by the User.
Nothing in these Terms excludes Babdarna’s liability for gross negligence, willful misconduct, or personal injury caused by Babdarna’s direct action.
10. PRIVACY & DATA
Your use of the App is subject to Babdarna’s Privacy Policy, which is incorporated by reference into these Terms. By accepting these Terms, you also accept the Privacy Policy.
The Privacy Policy governs how Babdarna collects, stores, processes, and protects your personal data — including National ID/passport scans, location data, and payment records. You are encouraged to read the Privacy Policy in full before registering.
The Privacy Policy is available within the App under Settings > Legal > Privacy Policy, and upon written request to privacy@babdarna.com.
11. COMMUNICATIONS & NOTIFICATIONS
By registering on the App, you consent to receiving:
- Booking confirmations, updates, and reminders via App push notification, WhatsApp, or email.
- Operational communications from your assigned Babdarna Host.
- Service and policy update notices.
Babdarna will never use your contact information for third-party advertising. You may manage your notification preferences within the App under Settings > Notifications.
For urgent operational matters (e.g., check-in issues, maintenance emergencies), WhatsApp and phone communication with your assigned Babdarna Host takes precedence over App notifications.
12. MODIFICATIONS TO THESE TERMS
Babdarna reserves the right to amend these Terms at any time. In the event of a material change:
- Users will be notified through the App at least 7 days before the change takes effect.
- Continued use of the App after the effective date constitutes acceptance of the revised Terms.
- If you do not accept the revised Terms, you must cease using the App and may close your account by contacting support@babdarna.com.
Non-material changes (e.g., formatting, corrections of typographical errors) may be made without prior notice.
13. GOVERNING LAW & DISPUTE RESOLUTION
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, including but not limited to the Egyptian Civil Code and the Consumer Protection Law No. 181 of 2018.
13.2 Dispute Resolution
In the event of any dispute arising from or relating to these Terms or your use of the App, the parties agree to:
- First attempt to resolve the dispute amicably through direct communication within 14 days.
- If unresolved, submit the dispute to the exclusive jurisdiction of the competent courts of Cairo, Egypt.
GCC Expansion Notice (Placeholder)
Upon Babdarna’s expansion into UAE or KSA, additional jurisdiction-specific addenda will be incorporated into these Terms. UAE users will be subject to applicable DIFC or ADGM regulatory frameworks where relevant. KSA users will be subject to applicable Saudi Arabian law including REGA and RERA requirements.
14. SHARIA COMPLIANCE STATEMENT
House of stability LLC is committed to conducting its business in a manner consistent with authentic Islamic principles. In practice, this means:
- No interest-bearing financial instruments are embedded in guest payments or owner payouts.
- All Units are managed to comply with Islamic standards of modesty and ethical conduct.
- Babdarna reserves the right to decline bookings or terminate agreements where the intended use of a Unit conflicts with Islamic ethical principles.
This clause is declaratory and does not limit any other rights or obligations set out in these Terms. Users with specific Sharia compliance inquiries may contact us at legal@babdarna.com.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Property Management Agreement, constitute the entire agreement between you and Babdarna and supersede all prior agreements, representations, or understandings.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Babdarna’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer your account or any rights under these Terms without Babdarna’s prior written consent. Babdarna may assign its rights and obligations without restriction.
15.5 Language
These Terms are issued in English as the primary binding version. An Arabic translation is provided for accessibility. In the event of any conflict between the two versions, the English version prevails.
